TERMS AND CONDITIONS & WARRANTY
1.1 In these conditions:
‘Customer’ means the person who accepts a quotation for the sale of Goods or whose order for Goods is accepted by
the Company and whose details are set out in the Contract.
‘Goods’ means the doors, panels, infills, cabinets which the Company is to supply according to the Design, Contract
and Conditions.
‘Accessories’ means the handles, LED lighting, mirrors that are sourced and supplied by the Company.
‘Company’ means Space Joinery and Interiors Ltd. trading as Space Joinery and Interiors Ltd.
‘Completion’ means completion of the delivery and/or installation of the Goods as stipulated in the Contract.
‘Delivery’ means delivery of the contracted materials to the location specified on the Contract in accordance with
Clause 6 of the contract.
‘Site’ means the location the goods are to be delivered/installed as specified on the Contract in accordance with
Clause 6 of the contract.
‘Conditions’ means the terms and conditions as set out in this document.
‘Contract’ means the contract for the purchase and sale of the goods.
‘Price’ means the total price of the goods as specified on the Contract.
‘Writing’ includes email, facsimile and posted correspondence.
1.2 Any reference in these Conditions to any provision of a statute shall be construed as a reference to that provision
as amended, re-enacted or extended at the relevant time.
1.3 The headings in these Conditions are for reference only and shall not affect their interpretation.
Basis of Sale
2.1 The Company will sell and the Customer will purchase the Goods for the Price on the Contract, and it is the intention
of the Company that all terms of the Contract between the Customer and the Company are contained in this document.
The Customer should read the Contract carefully to ensure understanding of its terms. If the Customer has any queries
on any of the terms herein, clarification should be requested from the Company before signing the Contract.
2.2 The Customer’s signature on the Contract or equivalent acceptance shall constitute a binding order on the part of
the Customer but shall not be binding on the Company until acceptance by the Company. Acceptance by the Company
of this order and the Price is subject to the technical site survey.
2.3 Any qualifications or variations to the Conditions, if agreed upon by the Company, must be in writing.
2.4 Reliance should not be placed on promises or claims made by anyone other than a Director of the Company.
Description of Goods on Contract
3.1 The Company reserves the right to adjust the final specification of the Goods and Contract in accordance with the
technical survey after the order is confirmed. Design changes that alter the appearance or function of the product will
be agreed with the Client in writing. In this instance, the Company reserves the right to reappoint the installation date
where necessary to accommodate the agreed changes.
3.2 The Company reserves the right to delay installation of the Goods if a supplier or manufacturer to the Company
defaults on their delivery date or delivers damaged or inferior goods.
Price
4.1 The Price will be fixed for 60 days from the date of the Contract. Thereafter, the Company may vary the Price to
reflect any change in its usual prices.
4.2 Additional work, goods, or variations ordered or required by the Customer, either in writing or verbally, shall be
confirmed by the Company within 7 days and invoiced for full payment in advance of installation. Unless rescinded by
the Customer in writing, such orders shall be treated as confirmed. A quotation for the additional work or variation shall
be issued where possible.
4.3 If part of the work is carried out by the Customer or their agents, the Company’s Price is based on the assumption
that this work will be carried out in a workmanlike manner and strictly to any agreed time schedule. Any additional costs
incurred due to poor workmanship or hindrance on the part of the Customer shall constitute an extra charge.
4.4 The Price is based upon prevailing costs at the date of the Contract. The Company reserves the right to amend the
Price should any extra costs or penalties arise before Terms of Payment
5.1 Payment of the Price shall be carried out according to the payment terms and schedule stipulated in the Contract.

Any adjustment to payment terms shall be made at the sole discretion of the Company and agreed in writing.
5.2 Failure to make payment on time and in full shall entitle the Company to cease works until payment is made.
Additional costs for rebooking installations due to non-payment shall be charged to the Customer.
5.3 Additional costs arising from modifications to the Contract agreed between the Company and the Customer shall
be subject to the Company’s discretion regarding payment terms.
5.4 Additional costs incurred by the client or subcontractor by damage or delays will be invoiced at day rate per member
of staff plus overheads and will be paid in full prior to completion of works.
5.4 All outstanding Goods pertaining to the Contract remain the property of the Company until full payment of the Price
has been made by the Customer.
Delivery, Installation, and Completion of Goods
6.1 Delivery of the Goods shall be made to the Site as stipulated in the Contract. Delivery dates are subject to
availability and factors beyond the Company’s control.
6.2 The Customer is responsible for ensuring clear access to the Site for delivery and installation.
6.3 Access to the Site for installation shall be provided by the Customer at reasonable times to facilitate completion of
the installation.
6.4 Postponement of the installation booking within 4 weeks of the scheduled date shall incur a fee of £500 day per
carpenter, plus liability for loss of business earnings.
6.5 Denial of access to the Site for installation shall not relieve the Customer of their obligation to pay the balance of
the Contract Price.
Customer’s and Company’s Right to Cancel
7.1 The Customer is granted a 5-day cooling-off period following signing of the Contract. Notice of cancellation must be
given in writing. The cooling-off period is void if the Contract is agreed within 6 weeks of the installation date due to the
bespoke nature of the Goods.
7.2 Cancellation of the Contract on 5 working days written notice is permitted outside the cooling-off period, subject to
retention of a reasonable proportion of monies paid by the Customer to cover losses and costs incurred by the Company.
7.3 The Company reserves the right to cancel the Contract with 7 days written notice to the Customer.
7.4 Deposit payments are non-refundable.
Designs, Changes to Design and/or Installation
8.01 Requested changes to the agreed design once production has begun will incur costs for materials,
administration, design alteration, and rebooking.
8.02 Changes to the agreed design during installation must be discussed and agreed upon with the Company’s office.
The Customer shall be liable for any costs incurred by the Company for these changes.
8.03 Designs are the property of the Company and cannot be shared or reproduced without our permission.
8.04 The Company reserves the right to use the Designs on social media and website.
8.05 The Company reserves the right to photograph all goods during and after installation for use on social media and
website.
Risk and Property
9.1 Goods delivered to the Customer’s site are the sole risk of the Customer. In the event of damage, destruction, or
theft, the Company shall still be entitled to full payment unless such damage, destruction, or theft was caused by the
Company.
9.2 The ownership of the Goods shall not pass to the Customer until full payment has been received and cleared by
the Company.
Warranties and Liabilities
10.1 The Company warrants that the Goods, excluding accessories and lighting, will be free from manufacturing defects
for a period of 5 years from the date of delivery, Accessories and Lighting for two years see 10.4, 10.5 10.6.
10.2 ‘Goods’ are cabinets, doors, panels.
10.3 ‘Goods’, ‘Accessories’ and ‘Lighting’ are not covered if exposed to direct sunlight, or cleaned with detergent other
than water or ‘Mr Muscle’ (or similar cleaning fluid that evaporates), or used in an unsuitable manner i.e. stood upon or
loaded with an unreasonable amount of weight, dismantled or altered by others.
10.4 Accessories include door handles and accessories selected by, but not manufactured by, the Company.
Accessories sourced or requested by client are not covered.
10.5 ‘Lighting’ warranty covers LED lighting only as supplied and fitted by the Company, in accordance with the
manufacturers guarantee or for a minimum of two years covered by the Company.
10.6 Hinges and drawer runners include a five year warranty from date of installation, supply and installation covered
subject to fair wear and tear by the Client or others.
10.6 Liability under the warranty is contingent upon full payment of the Price upon Completion.
10.7 The Company’s liability shall not extend to parts, materials, or equipment not produced by the Company, for which
the Customer shall rely on the manufacturer’s warranty.
10.8 If Goods, Accessories or Lighting need to be replaced under warranty and are no longer available, the Company
will find the nearest alternative for replacement of the damaged parts only.
10.9 The Company shall not be liable for defects arising from specified designs not supplied by the Company, not

recommended by the Company, subsidence, building movement, fair wear and tear, or other specified scenarios.
11.1 Guarantee of Manufacturing Defects: Space Joinery & Interiors Ltd (“the Company”) assures that the fitted
furniture (“the Goods”) supplied under this Contract shall be devoid of manufacturing defects for a period of 5 years
from the date of Delivery..
11.2 The Company may offer repair or replacement of defective Goods at its discretion. If goods have been discontinued
the Company will supply the nearest product available for the damaged doors, panels, handles, lighting available.
11.3 Except in cases of negligence, the Company shall not be liable for consequential loss or damage.
11.4 Accessories are door handles and accessories selected by, but not manufactured by, the Company, will be covered
by our guarantee for two years. Accessories sourced or requested by client are not included.
11.5 Lighting supplied and fitted by the Company, is guaranteed in accordance with the manufacturers guarantee or a
minimum of two years covered by the Company.
11.6 The Company shall not be liable for defects arising from specified designs not supplied by the Company,
subsidence, building movement, fair wear and tear, or other specified scenarios
12.2 Specific Conditions of Warranty:
a. Statutory Rights: This warranty does not impinge upon the statutory rights of the Customer.
b. Exclusions: The warranty does not extend to defects arising from specifications, designs, or drawings provided by
the Customer, absolving the Company of any liability. Goods are not covered if exposed to direct sunlight, or cleaned
with detergent other than water or ‘Mr Muscle’ (or similar cleaning fluid that evaporates), or used in an unsuitable manner
i.e. stood upon or loaded with an unreasonable amount of weight, dismantled or altered by others.
c. Exemptions: The Company shall not be held accountable for defects resulting from factors such as subsidence,
building movement, fair wear and tear, prolonged exposure to direct sunlight, domestic pet or vermin damage, wilful or
accidental damage, negligence (excluding the Company’s negligence), abnormal working conditions, failure to adhere
to care instructions provided by the Company, misuse, alteration, or repair of the Goods without the Company’s prior
approval.
d. Voidance Clause: This warranty becomes void if the Price of the Contract is not settled in full and paid upon
Completion as per the date of issue of the final invoice. The Customer’s statutory rights remain unaffected by this
stipulation.
e. Excluded Components: Parts, materials, or equipment not produced by the Company are not encompassed by this
warranty. The Customer shall rely on the manufacturer’s warranty for such components.
f. Claim Notification: Any claims for defects must be formally conveyed to the Company in writing within 7 days from
the date of Delivery. Failure to adhere to this timeframe will result in the Customer forfeiting their right to reject the
Goods, absolving the Company of liability for such defects.
13.0 Remedial Measures: In the event of a validated claim for defects, the Company, at its sole discretion, may opt to
rectify or replace the defective Goods (or the affected part) free of charge. This recourse supersedes any other remedies
available to the Customer, except for their statutory rights.
13. 1 Limitation of Liability: Save for cases of death or personal injury arising from the Company’s negligence, the
Company shall not be liable to the Customer for any consequential loss or damage, including but not limited to loss of
profit, costs, expenses, or other claims for consequential compensation, arising from the supply of the Goods or their
utilization by the Customer.
14.0 Exemption from Liability for External Factors: The Company shall not bear responsibility for delays or failures
beyond its reasonable control, encompassing adverse weather conditions, traffic congestion, mechanical breakdown,
complications in the supply chain, or delays induced by an act or default of the Customer.
15.0 Applicability of UK Law: This warranty is governed by UK law and falls under the jurisdiction of UK Courts.
This warrenty is in compliance with the Consumer Rights Act 2015.
General
16.01 This Contract shall be subject to the jurisdiction of UK Courts and construed according to relevant UK law.
16.02 Disputes may be referred to an independent arbitrator agreed upon by both parties or appointed by the court.
